Corporate disputes come in a wide variety of guises. Sometimes relating to the way in which the company conducts itself, others as a result of boardroom or shareholders’ differences.
As between shareholders, or in the case of an unincorporated business, partners, disputes do arise often as a result of the parties having divergent views as to how the business should operate and how funds should be used.
Ideally these would have been addressed in a shareholders or partnership agreement prepared at an early stage but often that is not the case and the problems can then be difficult to resolve. This is particularly the case where there is an imbalance between the parties (e.g. where one or more of the parties is a minority shareholder).
These disputes can become acrimonious and expensive to resolve and often the business can be severely damaged by the ongoing dispute.
At Colman Coyle we have advised a large number of companies, shareholders and partners in these types of situations over the years. In our experience, it is essential that the parties not only have access to good legal advice but also are guided to prepare a clear plan to resolve the problems which will often be well suited for Alternative Dispute Resolution such as mediation. At Colman Coyle we are well placed to provide assistance with all these matters.
